b) ensure the dematerialization of all its existing securities as per the regulations outlined in the Depositories Act, 1996.
Furthermore, before making any offer to issue unlisted shares, make sure that the unlisted shares held by promoters, directors, and key managerial personnel (KMP) are dematerialized. The company should assist in dematerializing unlisted shares by applying to the depository and obtaining an International Security Identification Number (ISIN) for each type of unlisted share. It's essential for such companies to promptly pay fees, maintain security deposits, and fulfill all other requirements. Otherwise, they won't be allowed to offer unlisted shares, buy back their unlisted shares, or issue bonus or rights shares. Form PAS-6 needs to be submitted to the Registrar within sixty (60) days after the conclusion of each half-year, detailing ISIN information, unlisted shares held in dematerialized or physical form, and unlisted shares held by promoters, directors, and KMPs. Any holder of these unlisted shares intending to transfer unlisted shares must ensure that their existing shares are dematerialized. If investors have any grievances, they should reach out to the Investor Education and Protection Fund Authority.
